Call Participation Terms.

These Terms apply to every call you schedule through EXN. By checking the agreement box in the scheduling flow, you agree to these Terms with respect to both the call you are scheduling and any prior calls you have participated in with EXN.

These Call Participation Terms (“Terms”) apply to every call you schedule through EXN, and — by checking the agreement box — to any prior calls you have previously participated in with EXN regardless of when they occurred. By checking the agreement box in the scheduling flow, you agree to these Terms with respect to both the call you are scheduling and all prior calls you have participated in with EXN. If you do not agree, you will not be able to schedule a call or receive a call fee.

Plain language summary: EXN records and transcribes calls. We use what you share to build a profile on you and your company — including but not limited to your business challenges, tech needs, budget, and personal context you share in conversation — and we sell access to those profiles and related data products to vendors and investors. In exchange, you receive a call fee per EXN’s then-current schedule. By agreeing to these Terms, you are also agreeing to this data use for any previous calls you have taken with EXN.

1. Recording and Transcription

You acknowledge that your call will be recorded and transcribed using automated tools. All participants will be notified of recording at the start of each call. Transcripts and recordings are stored securely by EXN and its service providers.

2. What EXN Collects From Your Call

EXN collects and processes all content shared during your call, which may include:

  • Business context: your company’s technology pain points, software needs, current tech stack, budget ranges, buying timelines, evaluation criteria, and vendor preferences
  • Decision-making context: your role in purchasing decisions, internal stakeholders, and procurement processes
  • Personal context: interests, background, and other personal information you voluntarily share in conversation that may be relevant to professional relationship-building
  • Your name, title, company, and contact information

3. How EXN Uses This Data

EXN uses call data for commercial purposes including but not limited to building and selling profiles and data products. Read this section carefully.

3.1 EXN Network Profile

EXN will build and maintain a profile on you and your company (“EXN Profile”) based on information gathered across your calls. Your EXN Profile may include:

  • Your name, title, company, and contact information
  • Your company’s technology needs, pain points, budget signals, buying timeline, and current tech stack
  • Personal context and interests you voluntarily share during calls
  • AI-generated summaries and insights derived from call transcripts

Your EXN Profile is updated after each call you participate in.

3.2 Vendor Intelligence Product

EXN may make your EXN Profile available to software vendors who subscribe to EXN’s network intelligence product. Vendors use this information to prepare for and personalize their outreach and calls with ecommerce brands.

3.3 Investor and Market Intelligence Products

EXN may include your EXN Profile data — including business context and personal profile information — in data products sold or licensed to any third party to whom EXN determines there is value in doing so, including but not limited to investors, private equity firms, venture capital firms, financial institutions, market research firms, software vendors, consulting firms, and strategic buyers. EXN retains sole discretion over which third parties may access EXN data products.

Where your data is included in investor products, it may appear at the individual contact level (attributed to you and your company) or in aggregated, anonymized form depending on the specific product.

3.4 Platform Improvement

EXN uses call data to train and improve its AI models, matching algorithms, and platform features.

4. Data Sharing

Your EXN Profile and derived data may be shared with:

  • Vendors who subscribe to EXN’s network intelligence product
  • Investors and financial institutions that purchase EXN data products
  • EXN’s service providers (transcription, AI, storage, analytics) under data processing agreements
  • Successors in the event of a merger or acquisition

5. Call Fee

In exchange for your participation and agreement to these Terms, EXN will pay you a call fee per EXN’s then-current fee schedule, as communicated at the time of scheduling, subject to EXN’s payment terms and W-9/tax information requirements. EXN reserves the right to modify call fees at any time.

6. Your Rights

  • You may request access to or deletion of your personal information by contacting privacy@getexn.com.
  • Requesting deletion will remove your data from future EXN data products but will not affect data already sold or delivered to third parties prior to your request.
  • Declining to agree to these Terms will prevent you from scheduling calls or receiving call fees. It will not retroactively affect data collected from prior calls for internal EXN purposes, but EXN will not include your data in commercial data products without your agreement.

7. Updates

EXN may update these Terms at any time. The updated Terms will be presented the next time you schedule a call, and your agreement at that point constitutes acceptance. If you do not agree to updated Terms, do not schedule additional calls.

8. Governing Law

These Terms are governed by the laws of the State of Utah.

9. Data Security

EXN maintains industry-standard technical and organizational safeguards to protect your data, including but not limited to encryption in transit and at rest, role-based access controls limiting who within EXN can access profile data, and vendor security requirements for any third-party service providers who process your data. EXN will notify you in the event of a data breach that materially affects your personal information.

10. Profile Retention

EXN may retain and make available your EXN Profile indefinitely, including after your last completed call with EXN. Profile data may be refreshed or updated following each subsequent call you participate in. You may request removal of your profile from active commercial data products at any time by contacting privacy@getexn.com, subject to EXN’s right to retain underlying call data for internal and legal purposes.

11. Dispute Resolution

Any dispute arising from these Terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Salt Lake City, Utah or remotely at EXN’s election. You waive any right to participate in a class action or class-wide arbitration. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
