These Terms of Use (“Terms”) govern your access to and use of the EXN platform, website, and related services. By accessing or using the Platform, you agree to these Terms.
1. The Platform
EXN operates a B2B matchmaking platform that connects ecommerce brands with software vendors, facilitates discovery and evaluation calls, compensates brand expert participants, and produces market and contact intelligence products from call data.
2. Eligibility
You must be at least 18 years old and authorized to bind any organization on whose behalf you use the Platform.
3. Accounts
You are responsible for your account credentials and all activity under your account. Notify support@getexn.com immediately of any suspected unauthorized access.
4. Permitted Use
You may use the Platform solely for lawful B2B purposes. You agree not to:
- Misrepresent your identity, role, or organization
- Scrape, harvest, or extract Platform content or data without authorization
- Reverse engineer EXN’s technology, algorithms, or data products
- Share Platform-facilitated introductions or contact information outside of the intended business relationship without the other party’s consent
- Submit false or misleading information that affects matching or call scheduling
5. Call Recording and Data Collection
By scheduling or joining an EXN-facilitated call, you acknowledge that the call may be recorded and transcribed. Brand experts agree to EXN’s Call Participation Terms as a condition of scheduling. Vendors agree to data use terms through the Vendor Agreement.
6. Data License
Subject to the consent and agreement terms applicable to your role (Call Participation Terms or Vendor Agreement), you grant EXN a non-exclusive, worldwide, royalty-free, sublicensable, perpetual license to use, process, analyze, aggregate, and commercialize data derived from your calls and Platform interactions, including but not limited to the creation and sale of market intelligence reports, contact intelligence products, and investor data products. For vendors, this license covers internal platform use and limited pre-call introductory sharing with brand experts only. Vendor data is not included in any external-facing data product. This license survives termination of your use of the Platform with respect to data collected prior to termination.
7. Intellectual Property
EXN owns all right, title, and interest in the Platform, its technology, and all data products it creates, including but not limited to EXN Profiles (brand expert profiles) and market intelligence reports. EXN does not claim ownership of individual vendor information and does not create or sell individual vendor profiles. You retain ownership of your original business information; you grant EXN the license described above to use it.
8. Call Fee Payments (Brand Experts)
Brand experts who complete qualifying calls receive a call fee per EXN’s then-current fee schedule, as communicated at the time of scheduling. Payment is conditioned on completion of a qualifying call and agreement to the Call Participation Terms. EXN reserves the right to modify call fees at any time.
9. Confidentiality
Information shared by counterparties in EXN-facilitated calls is shared for the purpose of evaluating a potential business relationship. You agree not to disclose another party’s confidential business information to third parties or use it for purposes other than evaluating the specific opportunity presented by EXN.

These Terms are governed by Utah law. Disputes shall be resolved by binding arbitration under AAA Commercial Rules. Class actions and jury trials are waived.
